You are solely responsible for the accuracy, legality, and appropriateness of all data and content you enter into DownBeat. TEN Effects assumes no responsibility for any data you upload, share, or transmit through the application.
You may not upload any file that contains illegal content, malware, or material that infringes any third-party rights. TEN Effects reserves the right to remove any file at any time without notice.
You are solely responsible for the use of any share links you generate. TEN Effects is not liable for any consequence arising from information shared via those links, including unauthorized access resulting from your own distribution of a link.
DownBeat is provided "as is" without warranty of any kind. TEN Effects makes no guarantees regarding uptime, data retention, fitness for a particular purpose, or uninterrupted access. Use of the application is entirely at your own risk.
TEN Effects reserves the right to suspend or permanently terminate any user account at any time, for any reason or no reason, with or without notice, and without liability to the account holder.
You agree to indemnify, defend, and hold harmless TEN Effects and its principals from any claim, loss, liability, or expense — including reasonable legal fees — arising from your use of DownBeat, your violation of these terms, or your violation of any third-party rights.
To the maximum extent permitted by law, TEN Effects shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of or inability to use DownBeat, even if advised of the possibility of such damages.
DownBeat collects only the information you provide directly. Your acceptance of these terms, including the date, time, and IP address from which you accepted, is logged for legal and compliance purposes. This data is not shared with third parties.
TEN Effects may update these Terms of Service at any time. Users will be required to review and accept updated terms upon next login.
These terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Washington State.
